Vertex Offers Over Half Billion Dollars in Cash to Buy Sweden’s Pagero Group

King of Prussia-based Vertex has made a $555 million cash offer to buy Pagero Group, a software-as-a-service company headquartered in Gothenburg, Sweden, writes Jeff Blumenthal for the Philadelphia Business Journal.

The publicly traded Pagero offers business-to-business software primarily focused on the digital flow of orders, delivery documents, invoices, and payments.

Meanwhile, Vertex offers tax software to the retail, communications, hospitality, and leasing industries.

The two companies announced a partnership in October to provide software to multinational companies that would automate business transactions as well as globally manage indirect tax, reporting, and e-invoicing compliance. The acquisition would accelerate the process.

According to Vertex, Pagero’s board of directors recommended that shareholders accept its offer. The deal is expected to be finalized by February 1, 2024, if approved.

The Montgomery County company said that by leveraging Pagero’s platform and global network, it will extend its profile by integrating new digital transformation and e-invoicing capabilities into its portfolio.

“The combined platform will help customers seamlessly facilitate the creation, exchange, and clearance of jurisdictionally compliant e-invoices, enabling companies to reduce friction and other barriers to geographic expansion, and improve efficiency of their compliance and reporting operations,” said Vertex.
